Secretary Director (Public Limited Companies)

Location: ฺBangkok, Thailand

• Having responsibilities for all matters connected with Board and Shareholders meetings and contributing to best corporate governance practices.

• Undertaking arrangements for the meetings of the Board, related Board Committees and the Shareholders. Ensuring that the meetings conform to relevant laws and regulations, the company’s articles of association, individual Board and Committees charters and best practices.

• Prepare the official minutes of Board and Committee meetings in English

• Communicating the Board’s and Shareholders’ resolutions and policies to management and follow up their implementation.

• Providing preliminary advice and recommendations pertaining to legal, regulatory, and governance issues and practices related to the Board and Board Committees.

• Managing the secretarial office to serve as the center for corporate records such as the juristic person register, the memorandum and articles of association, the shareholder register and business licenses.

• Ensuring that corporate information disclosure and related regulatory filings are in accordance with laws and regulations.



• Bachelor’s or Master's degree in Law, Finance, Business Administration or related fields.

Possesses basic knowledge of laws and regulations related to the Public Limited Companies Act, Securities and Exchange Act.

• Minimum 10 years of experience in related field with strong understanding of corporate secretarial practices and have experienced in listed company is preferable

Knowledge of Civil and Commercial Code, Government and regulatory bodies; SEC, SET, Public Limited Company Act, etc.

• Excellent command of English and computer literacy

• Mature and be able to work independently

• Computer Skills: Computer literacy (MS Office, Outlook)
